Affiliate Program Terms and Conditions

By submitting a completed application for the AdGooroo affiliate program, you are agreeing to enter a legal agreement with AdGooroo, LLC. You agree to the terms and conditions below:

1. AdGooroo will pay a commission as specified on the AdGooroo Partner pages for any initial purchase identified as being made by a person referred via a link placed on the affiliate partner's website. The sale must be made within 90 days of referral for a commission to be due and if they still have the cookie on their computer. Subsequent subscription renewals will be paid on a monthly basis to the original affiliate partner for up to 12 months.

2. All accounts will be settled in full within 30 days at the end of every second month, provided that the total amount due exceeds $100. In the event that the total amount due does not exceed this amount, it will be carried over to the next accounting period.

3. If a single user is referred by more than one partner, only the most current referral will be recognized.

4. A referral commission will not be paid on orders that are fraudulent, result in a chargeback or a customer refund.

5. Ethical conduct:

• Affiliate partners must not create identical copies of any AdGooroo website
• Affiliate partners must not frame any AdGooroo website using iframes
• Affiliate partners must not use identical AdGooroo page content on their own websites.
• Affiliate partners must abide by the CAN-SPAM act when promoting AdGooroo products via email.
• Affiliate partners must not create Web site pages that are confusingly similar to AdGooroo pages, or that appear to be part of the official AdGooroo website.

6. Affiliate partners are not allowed to bid on the exact phrases, phrases similar to, or phrases containing the terms, "AdGooroo," "SEM Insight," "AdGooroo Express," or "Trademark Insight."

7. Affiliate partners are given a non-exclusive permission to use AdGooroo logos and trademarks on theirwebsites for the purpose of promoting AdGooroo products. NOTE that Affiliates are NOT allowed to register domain names that include AdGooroo trademarks, including: "AdGooroo", "SEM Insight", "Trademark Insight", "AdGooroo Express", or any variants thereof.

8. We reserve the right to decline a referral account application, without reason or cause.

9. The account may be terminated by either party at any time. Upon termination all outstanding accounts up to and including the termination date, will be settled and paid within 30 days at the end of the next accounting period. In the event that a partner account has a minus value, partner agrees to reimburse AdGooroo with the applicable amount within 30 days.

10. We reserve the right to change the terms and conditions without notice at anytime.

11. The partner program is designed for referring customers and generating leads for AdGooroo. It is not intended for partners themselves to obtain discounts on AdGooroo software.
